Terms of Use for Globi

1. The Globi Platform

Globi is an AI-powered assistant designed to provide Global Chamber chapters with quick and easy access to Global Chamber's official knowledge base, including policies, procedures, best practices, event information, and other relevant resources. The Platform aims to support chapter operations and growth by centralizing and streamlining access to information.

2. Account Access and Use

Eligibility: Access to the Platform is granted exclusively to active Global Chamber chapters and their designated, authorized users. You must be authorized by your chapter leadership and potentially by Global Chamber headquarters to use the Platform.

Account Responsibility: If account creation is required, You agree to provide accurate and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Do not share your login information. Notify Global Chamber immediately at global@globalchamber.org if you suspect unauthorized access.

Permitted Use: You may access and use the Platform solely for legitimate Global Chamber chapter business purposes, in compliance with these Terms, Global Chamber policies, and all applicable laws and regulations. The primary purpose is to access and utilize Global Chamber knowledge to support your chapter's activities.

3. Restrictions on Use

You agree not to, and not to assist others to:

• Use the Platform for any purpose outside of legitimate Global Chamber chapter activities.
• Misrepresent your affiliation with Global Chamber or your chapter.
• Share access credentials or allow unauthorized individuals to use the Platform.
• Attempt to access non-public data or systems of Global Chamber or other chapters.
• Use the Platform to develop competing services or train other AI models without express written permission from Global Chamber.
• Decompile, reverse engineer, or attempt to discover the source code or underlying mechanisms of the Platform, except as permitted by law.
• Scrape, data mine, or systematically extract information from the Platform beyond its intended use.
• Use the Platform to infringe on intellectual property rights or violate the privacy of others.
• Introduce viruses, malware, or engage in activities that could disrupt or harm the Platform or its users (e.g., denial-of-service attacks).
• Engage in any conduct that restricts or inhibits others' use of the Platform or exposes Global Chamber or its users to liability or harm.

4. Inputs, Outputs, and Information

Inputs: You may provide questions or prompts ("Inputs") to the Platform's AI assistant.

Outputs: The Platform will generate responses ("Outputs") based on its indexed knowledge base of Global Chamber information.

Nature of Information: Globi accesses and processes official Global Chamber documents, website content, and other approved knowledge sources. While we strive for accuracy and timeliness, Outputs are generated by an AI model.

Reliance on Outputs: Artificial intelligence is a developing field. Outputs may not always be perfectly accurate, complete, or current, even if they appear detailed. You should critically evaluate Outputs and, where necessary, verify critical information against original source documents or by contacting Global Chamber directly. Do not rely solely on Outputs for decisions with significant policy, financial, or legal implications.

Use of Inputs/Outputs: We may use Inputs and Outputs (collectively, "Materials") to provide, maintain, and improve the Platform and its underlying AI models, specifically for the benefit of Global Chamber operations. We prioritize the confidentiality and security of chapter-specific information. If Materials are flagged for trust and safety review (e.g., potential misuse), they may be analyzed to improve safety and policy enforcement.

Ownership: You retain any rights you have in the specific Inputs you provide. Subject to your compliance with these Terms, Global Chamber grants you a license to use the Outputs generated for your legitimate chapter's activities. Global Chamber retains all rights to the underlying Platform, AI models, and the indexed knowledge base content.

5. Feedback

We welcome feedback on the Platform, including suggestions for improvement or ratings of Outputs ("Feedback"). If you provide Feedback, you agree that we may use it freely to enhance the Platform and other Global Chamber services without obligation or compensation to you. Feedback may include the conversation context (Inputs and Outputs) related to the rating.

6. Fees and Access

Access to the Globi Platform is currently provided to active Global Chamber chapters at no additional charge, as part of their relationship with Global Chamber. Global Chamber reserves the right to introduce fees or change access terms in the future with reasonable notice to chapters.

7. Third-Party Links

The Platform or Outputs may contain links to third-party websites or resources (e.g., links within source documents). Global Chamber is not responsible for the availability or accuracy of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from them. Your use of third-party resources is at your own risk and subject to their respective terms and policies.

8. Platform Availability and Modifications

We strive to keep the Platform operational, but it may experience downtime for maintenance or unforeseen issues. Global Chamber reserves the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice, although we aim to provide advance notice for significant changes when feasible. We are not liable for any modification, suspension, or discontinuation of the Platform.

9. Disclaimers and Limitation of Liability

DISCLAIMER OF WARRANTIES: THE GLOBI PLATFORM AND ANY OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, GLOBAL CHAMBER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT OUTPUTS WILL ALWAYS BE ACCURATE, COMPLETE, OR CURRENT.

LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GLOBAL CHAMBER, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (C) ANY CONTENT OR OUTPUTS OBTAINED FROM THE PLATFORM; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, EVEN IF GLOBAL CHAMBER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL GLOBAL CHAMBER'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless Global Chamber, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Platform; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Inputs caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Platform.

11. General Terms

Changes to Terms: We may revise these Terms from time to time. The most current version will always be posted on the Platform [or specify location]. We will notify chapters of material changes, for example, via email or a notice on the Platform. By continuing to access or use the Platform after revisions become effective, you agree to be bound by the revised Terms.

Governing Law: These Terms shall be governed by the laws of the State of Arizona, United States, without regard to its conflict of laws principles.

Dispute Resolution: Any disputes arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and You consent to personal jurisdiction in those courts.

Entire Agreement: These Terms, together with the Privacy Policy [and AUP, if applicable], constitute the entire agreement between You and Global Chamber regarding the Platform.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver: Global Chamber's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without Global Chamber's prior written consent. Global Chamber may assign these Terms without restriction.

Termination: We may suspend or terminate your access to the Platform at any time, particularly if you violate these Terms or Global Chamber policies. You may stop using the Platform at any time. Provisions that by their nature should survive termination (including ownership, disclaimers, indemnity, limitations of liability, and general terms) shall survive.
